Vendor Agreement

This Vendor Agreement (“Agreement”) is entered into between Merchandise Paradise LLC (“Platform”) and the applying business entity (“Vendor”).

Marketplace Role

Vendor acknowledges that:

  • Vendor is the seller of record
  • Platform acts solely as a marketplace facilitator
  • Platform does not take title to products

Authorization & Product Legitimacy

Vendor represents and warrants that:

  • All products are authentic and lawfully sourced
  • Vendor has authorization to sell branded products
  • No counterfeit or grey-market goods are permitted

Brand-Gated Products

Vendor may not list brand-restricted products (including Apple and Nike) without:

  • Verified brand authorization
  • Platform approval
  • Compliance with brand standards

Payments & Fees

  • Payments are processed via Stripe Connect
  • Platform deducts agreed fees prior to payout
  • Vendor is responsible for taxes unless otherwise stated

Fulfillment & Returns

  • Vendor controls fulfillment
  • Vendor must meet Platform shipping and return standards
  • Vendor bears responsibility for customer service related to products

Compliance & Audits

Platform reserves the right to:

  • Audit product listings
  • Request authorization documentation
  • Suspend or terminate for violations

Indemnification

Vendor agrees to indemnify and hold harmless Merchandise Paradise from:

  • IP claims
  • Consumer claims
  • Regulatory violations

Termination

Platform may suspend or terminate immediately for:

  • Unauthorized brand sales
  • Counterfeit goods
  • Stripe policy violations

Governing Law

This Agreement shall be governed by the laws of the United States and the Vendor’s operating state.

Acceptance

Vendor agrees to this Agreement via electronic signature.

Introductory Clause

This Vendor Agreement ("Agreement") is entered into by and between Merchandise Paradise LLC ("Platform") and [Vendor Legal Name] ("Vendor"). This Agreement governs Vendor’s participation on the Merchandise Paradise marketplace.

Key Terms

  1. Marketplace Role
    Vendor is the seller of record. Platform acts solely as a marketplace facilitator.
  2. Product Authenticity & Authorization
    Vendor certifies that all products are authentic, lawfully sourced, and authorized for sale.
  3. Brand-Gated Products
    Vendor may not sell Apple, Nike, or other restricted brands without written approval.
  4. Payments & Fees
    Payments are processed via Stripe Connect. Platform deducts agreed fees prior to payout.
  5. Compliance & Enforcement
    Platform may audit listings and suspend or terminate Vendor for violations.
  6. Indemnification
    Vendor agrees to indemnify and hold Platform harmless from claims arising from Vendor’s products.
  7. Term & Termination
    This Agreement remains in effect until terminated by either party.
